Referral Program Terms

Overview

By participating in the Zipline consumer referral program (the “Referral Program”), you acknowledge and agree to be bound by these terms and conditions (the “Referral Terms”), which are in addition and subject to the Zipline Terms of Service and Privacy Policy. If you do not agree to the Referral Terms, please do not participate in the Referral Program. Zipline reserves the right to change these Referral Terms at any time. Your continued participation in the Referral Program after Zipline has posted an updated version of the Referral Terms constitutes your agreement to the updated version, and the updated version will be effective as of the time of posting or on such later date as may be specified in the updated version. In addition, Zipline reserves the right to: (1) modify or terminate the Referral Program at any time and in any manner without notice to you, in whole or in part; and (2) remove you from the Referral Program if Zipline suspects you have engaged in fraudulent activity or determines, in its sole discretion, that you have abused the Referral Program or violated these Referral Terms or any other applicable agreement between you and Zipline. “Zipline” means Zipline International, Inc., a Delaware corporation, and its subsidiaries and affiliated companies. “You” means a Referrer or New User, as defined below.

The Referral Program governs how a currently registered user of the Zipline platform in good standing (a “Referrer”) can receive Zipline credit (“Referral Credit”) by referring a friend or family member to register as a new user of the Zipline platform and meet certain other requirements (a “New User”), as more fully described below. The Referral Program is only available to users of the Zipline platform.

1. General

To qualify for and receive any promotional offer under the Referral Program, You must meet the requirements indicated, as applicable, in: (a) the promotional offer, (b) Your Zipline account, and/or (c) these Referral Terms. You must have a valid Zipline account to use a promotional offer under the Referral Program. Promotional offers can only be redeemed for Zipline orders in the Zipline app with the latest version, and within Zipline service areas and service hours. For promotional offers available to a New User, as applicable, You will be disqualified and will not be entitled to receive the promotional offer if Zipline has a record of Your name, email, phone number, or credit card used in connection with a prior Zipline order or linked to an existing active or inactive Zipline account or if Zipline otherwise suspects You of fraudulent activity. All deliveries are subject to availability. Promotional offers cannot be redeemed for cash or cash equivalent. Promotional offers are not transferable and may not be auctioned, traded, copied, transferred, bartered, modified, or sold. Promotional offers cannot be applied retroactively to prior purchases. Promotional offers cannot be applied to the purchase of any gift cards unless explicitly stated in the offer. Promotional offers cannot be combined unless otherwise indicated. If the full value of a promotional offer is not used in a single order, the remaining value will be forfeited. Promotional offers are void where restricted or prohibited by law. Zipline’s systems are the official date/time keeping device for all promotional offers. You are responsible for sales tax on the discounted subtotal, while Zipline will cover the balance of sales tax based on the full, undiscounted price. Limit one promotional offer per person as determined by Zipline in its sole discretion, unless otherwise indicated. Final eligibility for any promotional offer is determined at checkout. If there is a conflict between the terms of a specific promotional offer and these Referral Terms, the terms of the promotional offer will govern. 

2. Referrers

A. Qualified Referrals

A Referrer will receive Referral Credit for each “Qualified Referral,” which occurs when all of the following conditions are met:

1. The Referrer provides the Referrer’s unique referral link (the “Referral Link”) directly to the New User through email, text, or the Share Your Link option.

2. The New User (a) registers on the Zipline platform using the Referral Link provided to the New User by the Referrer; and (b) meets the offer requirements set forth in the Referral Link, which typically includes placing an order on the Zipline platform.

3. The New User has not previously registered on the Zipline platform.

4. The New User and Referrer are not the same person.

5. Zipline does not suspect that the Referrer or the New User have engaged in fraudulent activity.

6. The Referrer has not reached the Referral Cap as defined below.

The amount of Referral Credit that can be received for each Qualified Referral varies and may also vary over time, and will be stated in the Referrer’s Zipline account. If Zipline determines, in its sole discretion, that any of the above conditions have not been met and the Referrer has already received Referral Credit, Zipline reserves the right to revoke such Referral Credit.

B. Referral Cap and Expiration

A Referrer can only receive Referral Credit in connection with the following number of Qualified Referrals (the “Referral Cap”):

  • 5 Qualified Referrals.

Referral Credit shall automatically expire on the date indicated in the communication to the customer with the Referral Credit; if no date is specified, the Referral Credit will expire after 90 days.

C. Additional Restrictions on Referrers: 

A Referrer will not receive Referral Credit (or previously issued Referral Credit may be revoked) if Zipline determines, in its sole discretion, that:

  • Any Qualified Referral condition was not met;

  • The Referrer posted the Referral Link on any public, broadly accessible website or platform, including but not limited to coupon sites, public forums, or advertisement platforms;

  • The New User had previously created a Zipline account, even if tied to a different email, phone number, or other identifiers;

  • The Referral Credit was issued in error or obtained through fraud, abuse, illegal activity, or violation of these Referral Terms or the Zipline Terms of Service and Privacy Policy.

3. New Users 

A New User who registers on the Zipline platform using a Referral Link will be eligible for the offer stated in the Referral Link as long as Zipline determines, in its sole discretion, that all of the following conditions are met:

1. The New User meets the requirements stated in the offer and the offer has not expired, if applicable.

2. Zipline does not suspect that the New User has engaged in fraudulent activity.

3. The Referrer who provided the Referral Link to the New User has not reached the Referral Cap.

4. The Referrer’s Zipline account is active and Zipline does not suspect that the Referrer has engaged in fraudulent activity.

5. All of the Qualified Referral conditions set forth above have been met.

Final eligibility for the New User’s offer will be determined at checkout.

Any credit received by New Users for using a Referral Link shall automatically expire on the date indicated in the communication to the customer with the credit; if no date is specified, the credit will expire after 90 days.

4. Modifications and Termination

Zipline may modify, suspend, or terminate the Referral Program or these Referral Terms at any time, with or without notice. If the Referral Program is terminated, any unused Referral Credit may expire immediately or may continue for a duration determined by Zipline, unless otherwise required by law.

5. Additional Terms

To the maximum extent permitted by law, Zipline disclaims all liability related to the Referral Program. Zipline makes no representations or warranties regarding the continuation or availability of the Referral Program or any Referral Credit.

“What Can You Make Fly” Social Media Contest Rules

Zipline International Inc. (“Zipline”) is sponsoring the What Can You Make Fly Contest (the “Contest”).  The Contest is subject to these official rules (the “Official Rules”) and the Zipline Terms of Service and Privacy Policy, and by participating, you (“Entrant”) agree to be bound by them and the decisions of Zipline, which are final and binding in all respects.

  1. Sponsor.  This contest is sponsored by Zipline, located at 333 Corey Way, South San Francisco, CA 94080.Meta Platforms, Inc., X Corp., and TikTok Inc. (collectively, “Platforms”) are not a sponsor of, or responsible for conducting, the Contest.  This Contest is in no way sponsored, administered, executed or produced by any Platforms entity, or their affiliated companies.

  2. Eligibility.  In order to be eligible, Entrants must at the time of entry: (i) be at least eighteen (18) years of age; (ii) be a legal resident of the Dallas-Fort Worth Metropolitan Area; and (iii) have a Zipline account.  Void outside of Texas and where prohibited by law.  Employees of Zipline and its affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. 

  3. Contest Period.  This Contest begins at 9:00am Central Time (“CT”) on May 11, 2026 and ends at 11:59pm CT on June 8, 2026 (the “Contest Period”).  Zipline’s computer is the official time-keeping device for the Contest.  All entries must be received during the dates and times specified in the Contest Period.  A winner will be selected from entries submitted each Week, defined as each Monday from 11:59pm CT to the following Monday at 11:59pm CT period during the Contest Period.  Only entries submitted during a particular Week will be considered for that Week.

  4. How to Enter.  To enter, during the Contest Period:

  • Follow the Zipline official account on X, TikTok, Instagram, or Facebook;

  • Submit a photo or video of a Zipline package, delivery, or flight on X, TikTok, Instagram, or Facebook showing what you can make fly with Zipline; and

  • Include #flyzipline in your post, and tag @zipline on Instagram or X, or @flyzipline on Facebook or TikTok

Only entries that meet all the requirements above will be entered in the Contest.  Any entries that constitute unlawful behavior will be disqualified from the Contest.  By submitting an entry, Entrant is acknowledging and agreeing to the Official Rules.  

Limit of one (1) entry per Week, per individual.  Zipline in its sole discretion will decide whether a given entry satisfies the criteria for entry in the Contest.  Multiple Entrants are not permitted to share the same email address or social media handle.  Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different email or addresses, accounts, identities, registrations and logins, or any other methods will void that Entrant’s entries and that Entrant may be disqualified.  Use of any automated system to participate is prohibited and will result in disqualification.  In the event of a dispute as to any Entrant, the authorized account holder of the social media account associated with the entry will be deemed to be the Entrant.  Each potential winner may be required to show proof of being the authorized account holder.  Zipline will make the final determination of identity of Entrants in its sole discretion.  By submitting an entry into the Contest as instructed in these Official Rules, you represent and warrant that the entry is original and that you are at least eighteen (18) years of age on the date of entry.  Ineligible entries include entries that fail to comply with these Official Rules, including those that are, in whole or in part, threatening, abusive, harassing, defamatory, libelous, hateful, embarrassing to another person or entity, deceptive, obscene, invasive of another’s privacy, tortious, contain racial slurs, or contain explicit or graphic descriptions or accounts of sexual acts, that are not in keeping with Zipline’s reputation and image or are not within the spirit of the Contest, as determined by Zipline in its sole discretion.  Entries must also adhere to any relevant terms for the social media platform they are entered on (e.g., X’s Terms of Service, TikTok’s Terms of Service, Instagram’s Terms of Use, Facebook’s Terms of Service).

  1. Prize Winner Selection Process and Notification.  This Contest is a game of skill and chance plays no part in the winner selection process.  All valid entries received will be judged by Zipline based on:

  • Creativity (50%)

  • Execution Quality (30%)

  • Humor (20%)

A winner will be selected at the end of each Week.  The winner(s) will be chosen by Zipline based on the Official Rules.  In the event of a tie, Zipline will select a winner based on whichever entry had the higher creativity score wins.  If there is still a tie, Zipline will then select a winner based on whichever entry had the higher humor score wins.  

Zipline will notify winner(s) via direct message on the social media platform they entered on around three (3) business days after each Week.  Zipline is not responsible for any delay or failure to receive notification for any reason, including inactive account(s), technical difficulties associated therewith, or winner’s failure to adequately monitor any account.  The winner must then respond to Zipline within twenty-four (24) hours.  Winner(s) will be required to share an email address in order to redeem the prize.  Should the winner fail to respond to Zipline, or in the event that the winner’s entry is invalid, Zipline reserves the right to disqualify that winner and select the next best entry that was originally judged.  Winner may be required to sign an affidavit of eligibility, liability release and a publicity release.  By entering or accepting any prize, winner allows Zipline to use the winner’s entry, name, photograph, likeness, voice, opinions, prize information, biographical information, city and state for publicity and promotional purposes without further compensation where permitted by law.  Except where prohibited, participation in the Contest constitutes Entrant’s consent to Zipline’s use of Entrant’s entry, name, likeness, voice, opinions, biographical information, city and state for promotional purposes in any media without further payment or consideration.  

  1. Prizes.  Four (4) Winners will each receive $20 of Zipline Credit (“Prize”).  Approximate retail value is USD $20.In order to redeem prize(s), the winner must have an existing valid Zipline account.  Prizes will be rewarded to the winner’s Zipline account.  All Zipline credit prizes awarded under this contest will expire on September 8, 2026.  Zipline credit is subject to the Zipline Terms of Service, which are available here.  No substitution, assignment, transfer, or cash redemption of the prize is permitted except by Zipline, who has the right to substitute a prize with another of comparable or greater value in its sole discretion.Winner is responsible for all taxes, costs, and fees associated with the receipt and/or use of the prize.  Any difference between the stated approximate retail value and the actual value of the prize will not be awarded in any form. Any portion of the Prize not accepted, or redeemed by the dates or allotted time set forth in these Official Rules, or unclaimed and/or unused by the winner will be forfeited and will not be substituted and no additional compensation will be provided.  Zipline shall have no responsibility or obligation to a winner who is unable or unavailable to, or who does not for any reason, accept or utilize a Prize or any portion thereof. The Prize is provided “as is”; Entrants acknowledge that Zipline have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize, including any implied warranty of merchantability of fitness for a particular purpose.  

  2. Intellectual Property.  By entering, you grant Zipline a non-exclusive, royalty-free, worldwide license to use, reproduce, publish, and display your entry for promotional and marketing purposes without additional compensation, unless prohibited by law.Each participating Entrant hereby warrants that any entry and other materials and information posted or provided by Entrant are original with Entrant and do not violate or infringe upon the copyrights, trademarks, rights of privacy, publicity, moral rights or other intellectual property or other rights of any person or entity, and do not violate any rules or regulations.  If the entry contains any material or elements that are not owned by Entrant and/or which are subject to the rights of third parties, Entrant represents he or she has obtained, prior to submission of the entry, any and all releases and consents necessary to permit use and exploitation of the entry by Zipline in the manner set forth in the Official Rules without additional compensation.

  3. General Conditions.  Zipline reserves the right to cancel, suspend or modify the Contest if fraud or technical failures impair integrity.  By submitting an entry for this Contest, you agree to abide by these rules and any decision Zipline makes regarding this Contest, which Zipline shall make in its sole discretion.  Zipline reserves the right to disqualify any entrant who violates these rules or tampers with the entry process.

  4. Release of Liability.  Zipline makes no representations or warranties of any kind, express or implied, regarding any prize or your participation in the Contest.  By participating, Entrants agree to release and hold harmless Zipline from and against any claim or cause of action arising out of participation in the contest or receipt or use or misuse of any prize.

  5. Privacy.  All information submitted by Entrants and collected by Zipline is subject to Zipline’s privacy policy, accessible here.
