B2B Privacy Policy

Zipline offers business-to-business services such as its Delivery as a Service (the “B2B Services”). This Zipline B2B Privacy Policy (“B2B Privacy Policy”) applies to the collection, use, storage, sharing and retention of personal information of California residents in connection with B2B Services (“B2B Data”).

Notice of Collection: For California residents, learn more about what categories of B2B Data we may collect, how we may use that B2B Data, how we may disclose those categories of B2B Data, your privacy rights, and additional information provided below in the section titled “Notice to California Residents

If you have separate contractual agreements with us concerning our collection, use, or disclosure of your B2B Data, those agreements control and supersede anything stated in this B2B Privacy Policy.

B2B DATA WE COLLECT

We and our service providers may collect the following categories of B2B Data. For example, we collect personal information that you provide to us when you register for the B2B Services, express an interest in obtaining information about us or our products and B2B Services, when you use the B2B Services, or request customer service support or otherwise communicate with us. We may process the following categories of B2B Data in connection with our B2B Services:

  • Business Information. We may collect your full name and business name, email address, telephone number, address, and other work-related information you provide to us.

  • Account Information. We may collect your username, password, and contact preferences.

  • Data You Provide To Us. We may collect order data when you use our B2B Services, such as when you request we make a delivery on your behalf.

  • User Interactions. In some cases, we may collect click or touch stream data, movement, scroll, keystroke activity, session replay data and third-party sites or services you were using before and after interacting with the Services.

  • Cookies & Similar Technologies. We use automated means to collect some information. We and our third-party partners and providers may use (i) cookies or small data files that are stored on an individual’s computer and (ii) other similar technologies, such as web beacons, pixels, embedded scripts, location-identifying technologies, and logging technologies (collectively, “cookies”) to automatically collect certain information when an individual visits or interacts with the B2B Services. Disclosure via these technologies may be considered a “sale” or “targeted advertising” as defined by applicable state laws. SOURCES OF B2B DATA

We collect B2B Data directly from you, from your interactions with our B2B Services, from third parties, and from publicly available sources.

WHY WE COLLECT AND USE B2B DATA

We process your B2B Data for a variety of reasons, depending on how you interact with our B2B Services, including:

  • To facilitate account creation and otherwise manage accounts. We may process your information so you can create and log in to your account, as well as keep your account in working order.

  • To deliver and facilitate delivery of B2B Services. We may process your B2B Data to provide the B2B Services.

  • To respond to inquiries/offer support. We may process your B2B Data to respond to your inquiries and solve any potential issues you might have with the B2B Services.

  • To fulfill and manage your orders. We may process your B2B Data to fulfill and manage orders delivered on your behalf through the B2B Services.

  • To request feedback. We may process your B2B Data when necessary to request feedback and to contact you about your use of our B2B Services.

  • To send you marketing and promotional communications. We may process B2B Data for our marketing and promotional purposes, including by sending you marketing and promotional materials via email, direct mail, and SMS messaging. You can opt out of our marketing emails and SMS messages at any time as described below.

  • To deliver personalized advertising to you. We may process your B2B Data to develop and display personalized advertising tailored to your interests, location, and more.

  • To deliver targeted advertising to you. We may disclose certain B2B Data (e.g., identifiers and service and platform usage) to advertising partners to provide you with personalized ads on third-party platforms, which may constitute a “sale” or “sharing” of your B2B Data.

  • To deliver personalized content to you. We may process your B2B Data to develop and display personalized content to you.

  • To protect our B2B Services. We may process your B2B Data as part of our efforts to keep our B2B Services safe and secure, including fraud monitoring and prevention.

  • To identify usage trends. We may process B2B Data about how you use our B2B Services to better understand how they are being used so we can improve them.

  • To determine the effectiveness of our marketing and promotional campaigns. We may process your B2B Data to better understand how to provide marketing and promotional campaigns that are most relevant to you.

  • To save or protect an individual’s vital interest. We may process your B2B Data when necessary to save or protect an individual’s vital interest, such as to prevent harm.

  • To comply with our legal obligations, such as subpoenas or other legal requests. We may process your B2B Data to comply with any legitimate legal obligation in relevant jurisdictions.

  • To maintain records for internal business purposes. We may process your B2B Data to maintain and update records for internal business purposes.

  • To conduct our business and provide our services. We may process your B2B Data to provide, maintain, protect, promote and improve our B2B Services, and to develop new services.

  • To send administrative information. We may process your B2B Data to send important notices, updates, security alerts, support, and other administrative messages to you or others affiliated with your account.

  • To carry out any other purpose described to you at the time we collect your information. We may process your B2B Data for a purpose described to you at the time we collect your B2B Data, or otherwise with your consent.

Please note that we may de-identify or aggregate personal information so that it will no longer be linked or linkable to an identified or identifiable individual, and disclose such information to other parties for purposes consistent with those described in this privacy notice. We will protect de-identified information in accordance with applicable law, and will not attempt to “re-identify” the information.

OUR SHARING OF B2B DATA

We may share each of the categories of B2B Data described above with the following categories of entities in order to fulfill your requests, provide the B2B Services, run our business, and comply with legal obligations, among other purposes:

  • Vendors, Consultants, and Other Service Providers that Assist with Our Business. We may disclose your B2B Data to service providers, processors, vendors, or agents (“vendors”) who perform services for us or on our behalf and require access to such B2B Data to do that work. These vendors are subject to contractual restrictions regarding how this personal information can be used.

  • Advertising and Analytics Partners. We may disclose certain categories of B2B Data, including your business data, account information, and user interactions to third parties for targeted advertising, including social media platforms, third-party advertising networks, and other parties that assist us in serving and optimizing our advertisements.

  • Recipients of Business Transfers. We may disclose or transfer your B2B Data in connection with, or during negotiations of, any merger, sale of company assets, financing, or acquisition of all or a portion of our business to another company.

  • Affiliates. We may disclose your B2B Data to our affiliates. Affiliates include our parent company and any subsidiaries, joint venture partners, or other companies that we control or that are under common control with us.

  • Business or Government Partners. We may disclose your B2B Data to our business or government partners to fulfill your orders, meet applicable government regulations, or offer you certain products, services, or promotions.

  • Law Enforcement Agencies, Regulatory or Governmental Bodies, or Other Third Parties. We may disclose your B2B Data in order to respond to a legal process, comply with any legal obligation, protect or defend our rights, interests or property or that of third parties, or prevent or investigate wrongdoing in connection with the B2B Services.

  • Other Third Parties With Your Consent. We may share your B2B Data information in other ways if you have asked us to do so or have given your consent.

B2B DATA RETENTION

We will keep your B2B Data for as long as it is necessary for the purposes set out in this B2B Privacy Policy. We may also keep your information when necessary to comply with contractual and legal obligations, or when we have a legitimate interest to do so (such as improving and developing the B2B Services and enhancing the safety, security, and stability of the B2B Services). We may also store your B2B Data in order to defend or ascertain our legal rights, respond to valid legal requests, in the context of a merger/acquisition, or in order to implement our Terms of Service.

In all cases, in addition to the purposes, we consider the amount, nature, and sensitivity of the B2B Data, as well as the potential risk of harm from unauthorized use or disclosure of your B2B Data, in determining how long to retain B2B Data.

SECURITY

We use a system of organizational and technical security measures designed to protect your B2B Data.

We have implemented technical and organizational security measures designed to protect the security of B2B Data we process. However, no electronic transmission over the Internet or information storage technology can be guaranteed to be 100% secure, so we cannot ensure or guarantee the security of any information transmitted to or generated by Zipline in connection with the B2B Services, or any other service offered by Zipline. Transmission of B2B Data to and from our B2B Services is at your own risk.

HOW TO EXERCISE YOUR RIGHTS

Depending on your jurisdiction, and subject to certain exceptions, exemptions, and restrictions, you may exercise the following rights:

Your Privacy Rights. Applicable law may give you various rights regarding your B2B Data. If these rights apply to you, you may request that we:

  • Confirm whether we process your B2B Data or provide access to and/or a copy of certain information we hold about you;

  • Object to the use or disclosure of your information for certain purposes (including direct-marketing purposes);

  • Opt-out of the processing of your B2B Data for targeted advertising or sale;

  • Update B2B Data which is out of date or incorrect;

  • Delete certain B2B Data which we are holding about you;

  • Transfer your B2B Data to a third party provider of services; and

  • Revoke your consent for the processing of your B2B Data.

Zipline will not discriminate against you for exercising any of your applicable rights. We reserve the right to deny your request if we cannot verify your identity (except for requests to opt out of sale or targeted advertising). As part of our verification process, we may ask you to: submit additional information, use identity verification services to assist, or, if you have set up an account on our website, to sign into your account as part of our identity verification process. We may also deny your request if an exemption or exception applies.

Certain B2B Data may be exempt from such requests under applicable law. For example, we may need certain types of information so that we can provide the B2B Services to you. If you ask us to delete it, you may no longer be able to access or use the B2B Services. In exercising your privacy rights, you may be required to provide additional information to verify your identity before we fulfill your request.

NOTICE TO CALIFORNIA RESIDENTS

If you are a resident of California, we need to provide certain additional information to you.

This section applies only to “personal information” about California residents, as that term is defined in the California Consumer Privacy Act (“CCPA”), in connection with B2B Services, and it supplements the information in the rest of this B2B Privacy Policy. B2B Data about individuals who are not residents of California may be handled differently and is not subject to the same California rights described below.

CCPA Categories of California B2B Data We Collect. Throughout this B2B Privacy Policy, including the “B2B Data We Collect” section, we discuss in detail the specific pieces of B2B Data we collect from and about you. Under the CCPA, we are also required to provide you with the CCPA “categories” of personal information and sensitive personal information we collect. The categories we collect are: identifiers (such as name, address, email address); commercial information (such as transaction data); financial data (such as credit card information); internet or other network or device activity (such as browsing history or IP address); location information (e.g., your address); professional or employment related data; audio & visual information (e.g., call recordings); inferences we make about you; and other information that identifies or can be reasonably associated with you. The categories of sensitive personal information are account log-in and password, financial data, or other credentials allowing access to your account.

How We Use These Categories of Personal Information. We and our vendors may use and disclose any of the B2B Data we collect for the purposes described in this B2B Privacy Notice, and in accordance with our disclosures in the “Why We Collect And Use B2B Data” section above. This includes the following business and commercial purposes (as those terms are defined in applicable law):

  • Providing the B2B Services (e.g., account servicing and maintenance, order processing and fulfillment, customer service, advertising and marketing, analytics, and communication about the B2B Services);

  • Operational purposes (e.g., to enable and troubleshoot the B2B Services);

  • Auditing consumer interactions on our site (e.g., measuring ad impressions);

  • Detecting, protecting against, and prosecuting security incidents and fraudulent or illegal activity;

  • Bug detection, error reporting, and activities to maintain the quality or safety of our B2B Services;

  • Improving our existing B2B Services and developing new services (e.g., by conducting research to develop new products or features);

  • Other uses that advance our commercial or economic interests, such as third-party advertising and communicating with you about relevant offers from third-party partners; and

  • Other uses about which we notify you.

How We Collect These Categories of Personal Information. We collect the categories of B2B Data identified above from the following sources: (1) directly from you; (2) through your use of the B2B Services; (3) through affiliates; and (4) through third parties such as advertisers and our business partners.

How We Disclose These Categories of Personal Information. We describe our information sharing practices in the “Our Sharing Of B2B Data” section above. We may also disclose any of the categories of B2B Data described above with service providers (as defined by the CCPA) for permissible business purposes.

Your California Privacy Rights. If you are a California resident, the CCPA allows you to make certain requests about your personal information. Specifically, the CCPA allows you to request us to:

  • Inform you about the categories of personal information we collect or disclose about you; the categories of sources of such information; the business or commercial purpose for collecting your personal information; and the categories of third parties with whom we share/disclose personal information.

  • Provide access to and/or a copy of certain personal information we hold about you.

  • Correct inaccurate personal information that we maintain about you.

  • Delete certain personal information we have about you.

  • Opt out of the “sale” or “sharing” of your B2B Data.

Additional Information. You will need to provide us with information sufficient to verify your identity before we can satisfy your request. To do so, you will need to provide us with certain information regarding yourself and/or your usage of the B2B Services, such as name, phone number, email address, account information, and delivery history. You may also designate an authorized agent to make a request on your behalf. To do so, you need to provide us with written authorization or a power of attorney for the agent to act on your behalf. You will still need to verify your identity directly with us.

“Sharing” and “Selling” Information. While we do not sell personal information for money, certain data processing activities, including certain third-party analytics technologies active on our website and our targeted advertising efforts, may be considered “sales” or “shares” of your personal information as defined by California law. The information we may “sell” or “share” with advertising platforms, advertising networks, analytics partners, and other similar partners includes: identifiers (like IP addresses, name, and email), internet or other electronic network activity information (like information regarding an individual’s browsing interactions on our site), and commercial information (like the fact that a browser visited a page directed to people who are considering using the B2B Services).

To opt out of such “sharing,” please visit the Your Privacy Rights link at the bottom of our webpage. Please note that we also respond to and abide by opt-out preference signals sent through the Global Privacy Control to the extent supported by your browser. Any opt out preferences you have exercised through these methods will only apply to the specific device/browser on which you made them. We do not “sell” or “share” the B2B Data of individuals under 16.

Sensitive Personal Information. Please note that we do not use or disclose sensitive personal information for the purpose of inferring characteristics about you, or for any other purpose other than for purposes for which you cannot limit under the CCPA.

Data Retention. We will keep your B2B Data for as long as it is necessary for the purposes set out in this B2B Privacy Policy. We may also keep your information when necessary to comply with contractual and legal obligations, or when we have a legitimate interest to do so (such as improving and developing the B2B Services and enhancing the safety, security, and stability of the B2B Services). OTHER IMPORTANT INFORMATION

Updates to B2B Privacy Policy. We may modify this B2B Privacy Policy at any time by posting an updated policy on this website (www.zipline.com). Please look at the “Revised” date on this page to see when this B2B Privacy Policy was last revised. Any changes to this B2B Privacy Policy will become effective when we post the revised B2B Privacy Policy on this website. Where required by applicable law, we will obtain your opt-in consent if we use B2B Data that we previously collected about your for a purpose that is materially different from the purposes we described in the version of our privacy notice applicable to you at the time we collected that B2B Data.

Location of Data. Zipline’s B2B Services are hosted and managed from the United States. As a result, regardless of where you use our B2B Services, the information collected as part of that use may be transferred to and maintained on servers located in countries other than where you are located, such as in the United States or in any other country in which we have facilities or in which we engage service providers. This may result in processing of your personal information in countries, including the United States, whose data protection laws may differ from those where you live or are located.
